These Terms of Service (“Terms”) govern your access to and use of the Opsis website, applications, and related services (collectively, the “Services”), which are operated under the Opsis brand. In these Terms, “Opsis,” “we,” “us,” and “our” refer to Opsis.
By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
The Services
Opsis provides vendor intelligence, renewal planning, benchmarking insights, Opsis Signals, AI-assisted decision support, and related tools intended for banks, credit unions, fintechs, and other business customers.
Features may change as we improve the product.
Eligibility
The Services are intended for business and professional use. You must use the Services in compliance with applicable law and any policies we communicate to you.
Accounts and Access
You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
You agree to provide accurate registration information and to notify us promptly of any unauthorized access or security concerns.
Customer Data
You retain your rights in data you submit to the Services (“Customer Data”).
You grant Opsis a non-exclusive license to host, process, transmit, analyze, and display Customer Data only as needed to provide, secure, support, and improve the Services and as described in our Privacy Policy and Data Use & Benchmarking page.
You represent that you have the rights and authority to submit Customer Data and that your use of the Services does not violate agreements, laws, regulations, or obligations you have with third parties.
Acceptable Use
You agree not to misuse the Services, including by:
- Attempting to gain unauthorized access to the Services or other customers’ data
- Interfering with or disrupting the Services
- Reverse engineering the Services except where prohibited by law
- Using the Services to violate law or third-party rights
- Uploading malware, harmful code, or unauthorized data
- Using the Services in a way that could harm Opsis, other customers, or the integrity of the platform
AI-Powered Features
Opsis may offer AI-assisted features.
Outputs are generated to help your team explore vendor information, renewal exposure, market signals, benchmarking insights, and potential scenarios. AI outputs may be incomplete, inaccurate, outdated, or not appropriate for your specific circumstances.
You are responsible for reviewing all AI outputs and for all vendor, procurement, renewal, compliance, financial, and business decisions.
No Professional Advice
Opsis provides vendor intelligence, market signals, benchmarking insights, and decision-support tools.
Opsis does not provide legal, financial, regulatory, compliance, procurement, accounting, investment, or professional advisory services. Customers are responsible for their own vendor decisions, negotiations, approvals, compliance obligations, and business outcomes.
Benchmarking and Insights
Where peer, benchmark, or market insights are shown, they are provided as described on our Data Use & Benchmarking page.
Benchmarks may not be available for every segment, vendor, product, or category. Benchmarking, pricing ranges, savings estimates, vendor alternatives, and market insights are directional decision-support tools and do not guarantee any specific pricing, savings, vendor outcome, negotiation result, contract term, or business result.
Fees
If you purchase paid Services, fees, billing terms, taxes, subscription length, renewal terms, and cancellation terms are set forth in an order form, online checkout, invoice, proposal, or other written agreement between you and Opsis.
Unless otherwise stated, fees are non-refundable except as required by law or expressly agreed in writing.
Third-Party Services
The Services may rely on cloud infrastructure, communications providers, analytics tools, AI providers, database providers, authentication providers, security tools, and other third-party services or subprocessors.
Their use is limited to providing, securing, supporting, and improving the Services as described in our policies.
Opsis is not responsible for third-party services outside of its reasonable control.
Confidentiality
Each party will protect the other party’s non-public business information that it receives in connection with the Services using reasonable care, consistent with how similar information is protected in the industry.
Customer-specific vendor, pricing, contract, renewal, and business information will not be intentionally disclosed to other customers except as permitted by these Terms, the Privacy Policy, the Data Use & Benchmarking page, or a separate written agreement.
Intellectual Property
Opsis owns all rights, title, and interest in the Services, including the website, software, platform design, workflows, reports, analysis formats, data models, benchmarking methodology, Opsis Signals, branding, and related intellectual property.
You may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works from the Services except as permitted by law or with written permission from Opsis.
Customer Data remains owned by the customer.
Disclaimers
Except where prohibited by law, the Services are provided “as is” and “as available.”
Opsis disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and any warranties arising from course of dealing or usage of trade, to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Opsis and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, savings, data, business opportunities, goodwill, or vendor negotiation outcomes.
Opsis’s aggregate liability arising out of these Terms or the Services will not exceed the greater of:
- the amounts you paid Opsis for the Services in the twelve months before the claim, or
- one hundred U.S. dollars, USD $100,
except where liability cannot be limited by law or where otherwise agreed in writing.
Indemnity
You will defend and indemnify Opsis against claims arising from Customer Data you submit, your misuse of the Services, your violation of these Terms, or your violation of applicable law, subject to Opsis promptly notifying you of the claim and reasonably cooperating in the defense.
Term and Termination
We may suspend or terminate access to the Services for violation of these Terms, non-payment, security risk, misuse of the platform, or as needed to protect the Services or other customers.
You may stop using the Services at any time, subject to any separate written agreement.
Provisions that by their nature should survive termination will survive, including provisions related to Customer Data, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and payment obligations.
Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, excluding its conflict-of-law rules.
You agree that exclusive jurisdiction for disputes relating to these Terms lies in the state and federal courts located in North Carolina, except where prohibited by law.
Changes
We may update these Terms from time to time.
If changes are material, we will provide notice by posting the updated Terms on our website or through other reasonable means.
Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
